1. Introduction

Welcome to Switas. These Terms and Conditions govern your use of our website and services. By accessing or using our website and services, you agree to comply with and be bound by these Terms and Conditions.

2. Services

Switas provides growth management, product development, and other related consultancy services. The scope, deliverables, and duration of our services will be outlined in separate agreements or proposals provided to you.

3. Intellectual Property

All content, materials, and intellectual property provided by Switas, including but not limited to text, graphics, logos, images, and software, are the property of Switas or our licensors and are protected by applicable intellectual property laws. You may not use, reproduce, or distribute any of this content without our prior written permission.

4. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the services. Confidential information includes but is not limited to business plans, strategies, financial information, and client data. This obligation shall survive the termination of the agreement.

5. Payment Terms

Fees for our services will be outlined in the agreements or proposals provided to you. Invoices are payable within 30 days of the invoice date unless otherwise specified. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law.

6. Limitation of Liability

To the fullest extent permitted by law, Switas shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use our services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; and (iii) any interruption or cessation of transmission to or from our services.

7. Indemnification

You agree to indemnify, defend, and hold harmless Switas, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of our services.

8. Termination

Either party may terminate the agreement for convenience upon providing 30 days' written notice to the other party. Switas may terminate the agreement immediately if you breach any material term of these Terms and Conditions. Upon termination, all outstanding fees for services rendered shall become immediately due and payable.

9. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Switas is located, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.

10. Amendments

Switas reserves the right to amend these Terms and Conditions at any time. Any amendments will be effective upon posting the revised Terms and Conditions on our website. Your continued use of our services after such posting constitutes your acceptance of the amended Terms and Conditions.
